Try Before you Buy & Earn Money
Stage Try provides additional features for entities that use our Services ("Store," "Online Store," "Retailers, "Shops," "Online Shops," "you," or "your") that require additional terms or restrictions ("Additional Terms") and will provide the Services to Store following these Additional Terms.
These Additional Terms are listed below and incorporate our Terms of Service and any updates thereto (such documents, together with the Additional Terms, the "Terms"). When Stores use our Services, they also agree to all our Terms. The terms used in these Additional Terms shall have the meanings outlined in these Additional Terms.
Stage Try Sales Channel is a way to boost Store average order value and conversions through integration with Stage Try Platform and access a premium "Try-before-you-buy" solution. Stage Try Sales Channel also connects to the Stage Try marketplace to reach a new customer pool and increase customer base.
Account Terms
To access and use our Services, Shop must register for a Stage Try account (“Account”) by providing your full legal name, current address, phone number, a valid email address, and any other information indicated as required. Stage Try may reject your application for an Account, or cancel an existing Account, for any reason at our sole discretion.
Install Shopify Sales Channel
Under certain circumstances, you may begin using the Service to activate Stage Try Sales Channels on your Shopify store.
Activating Stage Try's Sales Channel will require stores to provide some information to share its products list on the Stage Try Mobile App and Website marketplace.
Shop Account and Stage Try's Terms
After a Shop installs the Stage Try's Sales Channel, it must provide some information to use Stage Try service and list its products on the Stage Try Marketplace platform.
Right after a store profile is approved, a 'Stage Try' button is added to their website to offer $0 checkout to their customers. Products will also automatically list on our Marketplace platform to reach more customers.
To keep Stage Try safe and improve our Services, we may take actions that limit your Shop's visibility, listings or that impact your payment account. In the event, a Shop sees unusual order activity, or we otherwise believe that your actions or Shop may result in Shopper disputes, chargebacks, increased risk of fraud, counterfeiting, or other claims, Stage Try may take actions such as limiting visibility of your account or placing restrictions or reserves on your payments account, following our Terms of Service, including this Policy and our Privacy Policy. Stage Try will communicate information to the affected party about the issue when appropriate and permitted by law.
Suppose Stage Try has reason to believe you; your content or use of the Services violates our Terms, including this Store terms. In that case, we may deactivate Your Content or suspend or terminate your account (and any accounts Stage Try determines related to your account) and your access to the Services.
Suppose the Store decides to terminate the relationship with Stage Try. In that case, they will not be authorized to use content provided by Stage Try on any visible means, such as website, social media, etc. If any content is visual, it must be removed upon contract termination.
E-Commerce Platforms
As a Store or Shop, you may be accessing the Services to create Store through a third-party "E-Commerce Platform," including Shopify. Stage Try and the E-Commerce Platforms are unaffiliated companies, and Stage Try does not influence the E-Commerce Platforms' operations. Stage Try and/or its Representatives shall in no way be held responsible for any losses or damages, direct or indirect, pecuniary, or otherwise, resulting from any error or failure on the part of the E-Commerce Platform through which you are accessing the Services.
Fees and Purchase Terms
General Purpose of Terms
Sale of Service, not Software. The purpose of the Terms is to secure access to the Services. All fees set forth within and paid by you under the Terms shall be considered solely in furtherance of this purpose. In no way are these fees paid considered payment for the sale, license, or use of Stage Try’s Software, and any use of Stage Try’s Software by you in furtherance of the Terms will be considered merely in support of the purpose of the Terms.
Payment of Fees
You agree to pay all fees or charges to your Account following the fees, charges, and billing terms in effect when a fee or charge is due and payable. You must provide Stage Try with a valid credit/debit card (Visa, MasterCard, or any other issuer accepted by us) or bank account as a condition to signing up for the Services. Your Payment Provider agreement governs your use of the designated credit/debit card or bank account. You must refer to that agreement and not the Terms to determine your rights and liabilities. By providing Stage Try with your payment provider associated payment information, you agree that Stage Try is authorized to immediately invoice your Account for all fees due and payable to Stage Try hereunder and that no additional notice or consent is required. You agree to immediately notify Stage Try of any change in your billing address or credit/debit card used for payment hereunder. Stage Try reserves the right at any time to change its prices and billing methods, either immediately upon posting on Stage Try Properties or by e-mail delivery to you.
Service Transaction Fees
Upon installing Stage Try sales channel, you will be presented with the “Transaction Fees” that will be charged to you for the use of the Services. The Fees are a percentage of the sales from a Stage Try Platform.
The Fees displayed to you are in Canadian dollars, which may be converted to other currencies at the time of payment processing, depending on your country of origin. Fees may not include applicable taxes, which shall be displayed when your provided payment method is charged, depending on your location.
The Transaction Fees calculate automatically once the Purchase is finalized. The shopper credit card will be charged the amount calculated, and Shopper will receive email notification of the amount charged. By joining our sales channel, you authorize Stage Try to collect the amount of the Transaction Fees.
Service Subscription Fees
You will be responsible for payment of the applicable fee for any Services (each, a “Service Subscription Fee”) at the time you create your Account and select your subscription package (each, a “Service Commencement Date”). Except as outlined in the Terms, all fees for the Services are non-refundable. No contract will exist between you and Stage Try for the Services until Stage Try accepts your order by a confirmatory e-mail, SMS message, or other appropriate means of communication.
Service Chargeback Fees
It is charged in the event of a disagreement between a Shopper and Store that pertains to an issue with any orders placed using the Services (for example, if an order appears to be defective, appears to be materially different from what was marketed, is purchased but arrives late, or is purchased but does not arrive) that results in a chargeback. Any chargeback coded as anything other than “fraud” by the applicable card network is considered a Service Chargeback.
Setup Fees
It is charged if Store selects a custom Implementation to use specific service of Stage Try other than subscription or sales fee such as Marketing tools etc. Setups Fees will be set forth on your Stage Try Account.
Taxes
Stage Try’s fees are net of any applicable Sales Tax. Suppose any Services, or payments for any Services, under the Terms, are subject to Sales Tax in any jurisdiction, and you have not remitted the applicable Sales Tax to Stage Try. In that case, without limiting the preceding, if the Store is required to deduct or withhold any taxes from the amounts payable to Stage Try hereunder, the Store will pay an additional amount so that Stage Try receives the payments due to it hereunder in full, as if there were no withholding or deduction.
You will be responsible for paying such Sales Tax and any related penalties or interest to the relevant tax authority. You will indemnify Stage Try for any liability or expense we may incur in connection with such Sales Taxes. Upon our request, you will provide us with official receipts issued by the appropriate taxing authority or other evidence that you have paid all applicable taxes. For purposes of this section, “Sales Tax” shall mean any sales or use tax, and any other tax measured by sales proceeds, that Stage Try is permitted to pass to its customers, that is, the functional equivalent of a sales tax where the applicable taxing jurisdiction does not otherwise impose a sales or use tax.
Automatic Renewal
Your subscription will continue indefinitely until terminated following the Terms. After your initial subscription period, and again after any subsequent subscription period, your subscription will automatically begin on the first day following the end of such period (each a “Renewal Commencement Date”) and continue for an additional equivalent period Stage Try’s then-current price for such subscription. You agree that your Account will be subject to this automatic renewal feature unless you cancel your subscription at least (a) thirty (30) days before the Renewal Commencement Date (or if you receive a notice from Stage Try that your subscription will be automatically renewed, you will have thirty days from the date of the Stage Try notice), by logging into and going to the “Change/Cancel Membership” page of your “Account Settings” page. If you do not wish your Account to renew automatically, or if you want to change or terminate your subscription, please get in touch with Stage Try or log in and go to the “Account” page. If you cancel your subscription, you may use your subscription until the end of your then-current subscription term; your subscription will not be renewed after your then-current term expires. However, you will not be eligible for a prorated refund of any portion of the subscription fee paid for the then-current subscription period. By subscribing, you authorize Stage Try to charge your Payment Provider now and again at the beginning of any subsequent subscription period. Upon renewal of your subscription, if Stage Try does not receive payment from your Payment Provider, (i) you agree to pay all amounts due on your Account upon demand, and/or (ii) you agree that Stage Try may either terminate or suspend your subscription and continue to attempt to charge your Payment Provider until payment is received (upon receipt of payment, your Account will be activated and for purposes of automatic renewal, your new subscription commitment period will begin as of the day payment was received).
Disputes
You must notify us in writing within seven (7) days after receiving your credit/debit card statement if you dispute any of our charges on that statement, or such dispute will be deemed waived. Billing disputes should be notified to the following address: business@stagetry.com
Modification of the Fees
Stage Try, in its sole discretion and at any time, may modify the Transaction Fees. Any Transaction or Subscription Fees modification will become effective at the end of the then-current Billing Period. Stage Try will provide you with reasonable prior notice of any change in Fees to allow you to terminate your account before such modification becomes effective. Your continued use of the Services after the Fees modification comes into effect constitutes your agreement to pay the modified Transaction Fees.
Trial Period
The Consumer can use Stage Try to defer paying for a Purchase until after they have had a chance to try it on. The period for evaluating a Purchase (the "Trial Period") begins on the day the product is delivered to you (as determined by Stage Try based on Purchase tracking information it receives from Merchant or a tracking service). The Trial Period ends on the earliest of the following:
a) the day any one item from the Purchase is returned to Merchant.
b) the day consumer notifies Stage Try or the Merchant through the platform that they are keeping everything from the Purchase.
c) the trial expiration date communicated by Stage Try at the trial Period's start. Stage Try will notify the user when the Trial Period for a Purchase begins and when it is set to expire by sending an email to the email address user keep on file with Stage Try.
Initial and Final Order Value
The amount the user can use Stage Try to defer paying is the total value of the goods in their Purchase as specified by Merchant at the time of checkout (the "Pre Order Value"). This includes the cost of all the items purchased from the Merchant plus any other fees or charges assessed by the Merchant. When the Trial Period ends, Consumer will be responsible for repaying the Pre Order Value less any amounts credited to Stage Try by Merchant during the Trial Period, such as an amount credited due to a return (this net amount being the "Final Order Price"). If the Merchant processes credit for multiple returned items on different days during the Trial Period, the Final Order Price will equal the Pre Order Value less the amount of the earliest Merchant credit.
Card Hold on user Bank Card
When you agree to use Stage Try, Stage Try places a temporary authorization hold for a short time, a matter of minutes, on funds associated with the credit or debit card user-provided Stage Try in connection with the Purchase transaction (the "Bank Card") equal to the amount of the Pre Order Value (such authorization hold, a "Card Hold"). A Card Hold is different than a card charge in that the Card Hold does not result in funds coming out of the deposit account associated with the user debit card or an advance from the credit line associated with your credit card. Stage Try is not responsible for any transactions that the issuer of Bank Card may decline or on which it may assess an overdraft fee due to a Card Hold for a Stage Try Purchase you requested.
Promise to Pay
In exchange for Stage Try permitting, user to defer payment of your Purchase, consumer promise to pay Stage Try the Final Order Value on or soon after the expiration of the Trial Period. The user promise to make this payment by authorizing Stage Try to charge the Bank Card you provide in connection with the Purchase transaction, any substitute Bank Card provided Stage Try, or any other Bank Card user may have on file with Stage Try.
If Stage Try's charge to a Bank Card fails, you authorize Stage Try to continue attempting to charge any Bank Card until such payment is successful. If the user closes a Bank Card, reports it as lost or stolen or otherwise knows that Stage Try's charge to the Bank Card will not be processed, the user agrees immediately to provide Stage Try with a substitute Bank Card or pay Stage Try through another means that Stage Try may make available. Stage Try will notify you of the Final Order Value on or around the date that Stage Try processes the charge by sending an email to the email address you keep on file with Stage Try.
Individual Purchase Evaluation
We will separately review each user's request make to use Stage Try for a Purchase. Our approval of one Purchase does not mean we will approve a subsequent Purchase. If we agree to your request, we will disburse the Pre Order Value (less any amount we may retain) to Merchant.
No Interest pays to Stage Try
This is a 0% APR extension of credit. There are no interest or other finance charges due on this payment option for the customer. Additional fees will apply as described in this agreement.
Confidentiality
You agree and understand that the Confidentiality provision in terms of Service applies to Stores, in part, to foster an open environment where Shopper and entities in the business of attempting to influence the purchase decisions of others (whether through social media or similar outlets).
Shoppers can contact you without fear that specific comments will be quoted or attributed to them outside of the Services. Further, you acknowledge that such provisions do not create a binding obligation on the part of the owners or operators of the Services to protect the confidentiality of information posted or transmitted through the Services or to act as insurers or guarantors of or to accept liability for, the conduct of other visitors.
Privacy & Data Protection
Stage Try is firmly committed to protecting the privacy of your personal information and the personal information of your customers. By using the Service, you acknowledge and agree that Stage Try’s collection, usage, and disclosure of this personal information is governed by our Privacy Policy.
Publicity
Each party will have the right to announce the business relationship between the parties publicly. Besides, during the term of your use of our Services, we may use your name, trademarks, and logos (collectively, "Store's Marks") on our Websites, Applications and marketing materials to identify you as our Shops and to provide the Services to you.
Changes to Terms
Store agrees that Stage Try may amend the Terms with future effect at any time by posting updated Terms on Stage Try's website. Store assumes responsibility to check the Terms periodically for changes. Stage Try will provide notice of any changes to the Terms via a notification in the Services, via email, or through other reasonable means. If you are an existing Stage Try user, the changes will come into effect fourteen (14) calendar days after we post the changes to Stage Try's website, and your continued use of the Services more than fourteen (14) calendar days after we publish any such changes constitutes your acceptance of the terms. Except as expressly permitted in this Section, these Terms may be amended only by a written agreement signed by authorized representatives of the parties to these Terms. Disputes arising under these Terms will be resolved following the version of these Terms that was in effect at the time the dispute arose.
